Electronic Arts has confirmed that all necessary regulatory approvals have been secured for its privatization deal, according to filings submitted to the U.S. Securities and Exchange Commission (SEC). The $55 billion transaction is expected to close on August 4, 2026, concluding negotiations that have spanned over two years.
The SEC filing states that "all regulatory approvals required to complete the Merger have been obtained." The announcement comes one week after receiving approval from the European Commission, the final major regulatory hurdle for the deal's completion.
The acquiring consortium will consist of Saudi Arabia's Public Investment Fund (PIF), which will receive 93.4% of EA's shares, alongside Silver Lake (5.5%) and Affinity Partners (1.1%), an investment firm headed by Jared Kushner. The transaction represents one of gaming's largest acquisitions to date and will return EA to private company status.
EA operates major franchises including Battlefield, The Sims, and EA Sports FC. The change in ownership is not expected to disrupt the company's planned releases, including Battlefield 6, scheduled for later this year.
